- Introduction:
- This licence agreement (the “Agreement”) is between IVRFootage Private Limited, the owner of the stock footage and photos (the “Media”) available on the Website, and the user (the “licencee”) of the Media. By downloading or using the Media, the licensee agrees to be bound by the terms of this Agreement.
- Grant of licence:
- The Company grants the licensee a non-exclusive, non-transferable, and non sublicensable licence to use the Media in accordance with the terms of this Agreement.
- Permitted Uses:
- The licensee may use the Media for commercial and non-commercial purposes, including but not limited to advertising, film and video production, television, web content, and other forms of media. The licensee may also use the Media in merchandise, such as T-shirts or mugs, or in the creation of other products for resale, subject to the terms of this Agreement.
- Restrictions:
- The licensee may not use the Media in any manner that would infringe the intellectual property rights of the Company or the copyright holder of the Media. The licensee may not resell, redistribute, or sublicence the Media to any third party. The licensee may not use the Media in a way that would be considered defamatory, pornographic, or otherwise illegal.
- Termination:
- The Company may terminate this Agreement at any time if the licensee breaches any of the terms of this Agreement. Upon termination, the licensee must immediately cease using the Media and delete or destroy all copies of the Media in the licensee’s possession.
- Indemnification:
- The licensee agrees to indemnify and hold the Company, its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the licensee’s use of the Media.
- Disclaimer and Limitation of Liability:
- The Company makes no representations or warranties of any kind, express or implied, as to the Media or its fitness for a particular purpose. The Company will not be liable for any damages of any kind arising from the use of the Media, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
- Governing Law:
- This Agreement is governed by and construed in accordance with the laws of India and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
- Entire Agreement:
- This Agreement constitutes the entire agreement between the parties with respect to the use of the Media and supersedes all prior agreements, understandings, and negotiations, whether oral or written.
